CarBasket Automobile Services India Private Limited, Bangalore (hereinafter "CarBasket", "we", "our", or "us"), is a government-registered company (CIN, GST, MSME, Startup India). CarBasket operates as a platform connecting vehicle owners with authorised partners for vehicle scrapping, resale, spare parts, inspections, transport, and related services.
CarBasket acts solely as a technology platform, lead generator, and service facilitator. Partners operate as independent contractors. Nothing in these Terms shall create an employer-employee relationship, joint venture, agency, or partnership. All services are executed solely by the Partner in its independent capacity.
Partners must hold valid trade licenses, GST registration, environmental approvals (if applicable), insurance coverage, and any other regulatory approvals. CarBasket reserves the right to verify credentials, bank accounts, insurance, and operational capability before onboarding.
Partners may provide:
- Vehicle scrapping and dismantling
- Certificate of Deposite (CVS) where legally authorised
- Certificate of Destruction (CoD)
- Vehicle inspection and transport
- Spare parts resale
- Any other agreed automobile-related services
Partners are solely responsible for service execution, documentation accuracy, regulatory compliance, and lawful disposal.
Partners shall comply with all applicable laws, including the Motor Vehicles Act, Environmental Laws, Vehicle Scrappage Policy, Labour Laws, Consumer Protection Act, GST, and other central/state regulations. Penalties, fines, or regulatory actions are exclusively the Partner’s responsibility. CarBasket shall not be liable for any legal non-compliance by the Partner.
6.1 Customer Payments: Customers may pay via PhonePe, UPI, payment gateways, net banking, or other digital modes. CarBasket collects payments only as a facilitator.
6.2 Partner Settlements: Payouts will be released after service completion and verification, subject to deduction of platform fees, penalties, or dispute adjustments. CarBasket may withhold payments in case of disputes, non-compliance, or incomplete services.
6.3 Refund Responsibility: Partners are fully responsible for refund liability due to service failure, cancellations, or disputes. If CarBasket processes a refund on the Partner’s behalf, the Partner agrees to reimburse CarBasket.
6.4 Failed Transactions: Reversals follow bank/payment provider timelines (typically 5–7 working days). Partners shall not demand duplicate payments.
6.5 Chargebacks & Payment Disputes: Partners shall cooperate in investigations and bear financial liability for any disputes arising from their actions.
Partners must honour cancellations as per platform policy. Refund or compensation liability due to Partner unavailability, incorrect service commitment, or regulatory non-compliance rests solely with the Partner.
Partners supplying physical goods are fully responsible for replacement of defective, damaged, or incorrect items. Replacement must be completed within 5–7 working days after approval. Logistics for returns are the Partner's responsibility. CarBasket is not the seller unless explicitly stated.
Partners shall provide accurate pricing, avoid hidden charges, and honour quoted rates. Any price revision must be supported with evidence and approved via the platform.
Risk and custody transfer to the Partner at the time of vehicle pickup. Partner is liable for physical damage during transportation, dismantling, or storage. Pre-existing legal liabilities remain with the vehicle owner.
If Partners engage subcontractors, the Partner remains fully responsible for all services, compliance, insurance, and liabilities. CarBasket holds no responsibility for subcontractor actions.
Partners shall maintain all service records, CoD/CVS documentation, payment receipts, and regulatory compliance records for a minimum of 5 years or as required by law. These must be made available for CarBasket audits on request.
Partners agree to indemnify and hold harmless CarBasket, its directors, employees, officers, and affiliates from claims, consumer complaints, regulatory penalties, environmental violations, payment disputes, fraud, data breaches, or service negligence. This indemnity survives termination.
CarBasket’s total liability, if any, shall not exceed the commission earned from the specific transaction giving rise to the claim. CarBasket is not liable for Partner operational failures, customer disputes, or regulatory actions.
Partners shall use customer data only for service fulfilment, comply with IT Act and privacy laws, and maintain adequate cybersecurity safeguards. Misuse may lead to immediate termination and legal action.
Partners must maintain transit, public liability, worker compensation, and environmental risk insurance. Proof must be submitted upon request.
CarBasket reserves the right to conduct audits, verify compliance, request service proofs, and suspend operations for review.
CarBasket may suspend or terminate Partner access for non-compliance, fraud, repeated complaints, high refund ratio, payment disputes, environmental violations, or data misuse. Termination does not waive refund or indemnity obligations.
Neither party shall be liable for failure or delay due to government orders, RTO downtime, regulatory changes, natural disasters, strikes, or system outages.
Disputes between Partner and CarBasket shall first be resolved through mutual discussion within 15 days. If unresolved, disputes may be referred to arbitration under Indian Arbitration laws.
These Terms shall be governed by the laws of India. Exclusive jurisdiction lies with courts having territorial jurisdiction within the limits of Bruhat Bengaluru Mahanagara Palike (BBMP) and Greater Bengaluru Authority (GBA), Bangalore, Karnataka.
Partners shall not use CarBasket branding without written permission. All intellectual property belongs exclusively to CarBasket.
Partners consent to receive communication via email, SMS, WhatsApp, phone, or platform notifications.
Partners are responsible for GST compliance, TDS/TCS, filing statutory returns, and issuing tax invoices. CarBasket may deduct TDS where applicable.
Final Declaration: CarBasket acts solely as a digital aggregator and facilitator platform. All service execution, regulatory compliance, refund liability, replacement responsibility, chargeback risk, subcontractor liability, documentation accuracy, environmental compliance, record retention, and customer dispute resolution responsibility rests entirely with the Partner.
